Acceptance of Terms

By accessing or using the Charm platform ("Service"), including the website at charm.space and any associated applications or services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

Charm reserves the right to modify these Terms at any time. We will notify you of material changes via email or a prominent notice on our platform at least 30 days before the changes take effect. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

These Terms constitute a legally binding agreement between you and Charm Ltd, a company registered in England and Wales (Company No. 12345678), with its registered office at 10 Shoreditch High Street, London, E1 6JJ, United Kingdom.

Account Terms

To use certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security and confidentiality of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify Charm immediately of any unauthorised use of your account
• Be at least 18 years of age or the age of legal majority in your jurisdiction

Charm reserves the right to suspend or terminate accounts that violate these Terms, contain false information, or engage in fraudulent activity. You may delete your account at any time through your account settings.

Marketplace Rules

Charm provides a platform for users to list, discover, and rent creative equipment. As a marketplace facilitator, Charm does not own or possess any listed equipment. All transactions are between individual users ("Renters" and "Owners").

When listing equipment, you agree to:

• Provide accurate descriptions, photos, and condition assessments
• Maintain equipment in the condition described in the listing
• Honour confirmed bookings and respond to inquiries within 24 hours
• Not list prohibited items including weapons, controlled substances, or stolen property
• Comply with all applicable local laws and regulations regarding equipment rental

Charm reserves the right to remove listings that violate these rules, are flagged by multiple users, or are deemed inappropriate for the platform.

Payments & Fees

All payments are processed through Charm's secure payment infrastructure. Charm charges a platform fee on each transaction, which is displayed transparently before confirmation. Current fee structures are available on our Pricing page.

Key payment terms:

• Renters are charged at the time of booking confirmation
• Owners receive payouts within 48 hours of the rental period ending
• Refunds are processed according to the cancellation policy selected by the Owner
• Charm holds payments in escrow during the rental period for both parties' protection
• All amounts are displayed and processed in the currency specified by the Owner's listing

Charm is not responsible for any taxes, duties, or fees that may apply to your transactions. It is your responsibility to comply with all applicable tax obligations in your jurisdiction.

Intellectual Property

The Charm platform, including its design, branding, logos, software, and content (excluding user-generated content), is the intellectual property of Charm Ltd and is protected by copyright, trademark, and other intellectual property laws.

By uploading content to Charm (including listing photos, descriptions, and reviews), you grant Charm a non-exclusive, worldwide, royalty-free licence to use, display, and distribute that content in connection with operating and promoting the Service. You retain ownership of your content.

You may not copy, modify, distribute, sell, or lease any part of the Charm platform or its software without prior written consent from Charm Ltd.

Limitation of Liability

To the maximum extent permitted by applicable law, Charm Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Charm's total liability for any claim arising from the Service shall not exceed the greater of: (a) the fees paid by you to Charm in the 12 months preceding the claim, or (b) one hundred pounds sterling (£100).

Charm does not guarantee the condition, safety, or legality of listed equipment. While we take reasonable measures to verify users and facilitate trust, all transactions are conducted at your own risk. We strongly recommend utilising Charm's insurance programme for additional protection.

Termination

You may terminate your account at any time by contacting support or through your account settings. Upon termination, any pending transactions will be completed according to their existing terms.

Charm may suspend or terminate your account if:

• You violate these Terms of Service or any applicable policies
• Your account is involved in fraudulent or illegal activity
• You have multiple unresolved disputes or complaints from other users
• Charm determines, in its sole discretion, that continued access poses a risk to the platform or community

Sections relating to intellectual property, limitation of liability, and governing law survive any termination of these Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. Charm's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
